SO, YES, THIS IS A PRESENTATION TONIGHT ON A POTENTIAL DEBT ISSUANCE FOR SOME INFRASTRUCTURE NEEDS THAT WE HAVE.

AND THIS IS PART OF JUST AN ONGOING CAPITAL CONVERSATION.

YOU KNOW, WE WERE BUILDING OUR CAPITAL PLAN WITH THE PROGRAM THAT YOU HELPED THAT YOU APPROVED BACK IN OCTOBER, NOVEMBER.

AND SO THIS IS A PIECE OF THAT CAPITAL PLAN.

SO I'LL INVITE NICK UP HERE TO KIND OF TALK THROUGH HIS ANALYSIS WHAT THAT WOULD LOOK LIKE, THE TIMELINE IF WE CHOOSE TO ISSUE THIS DEBT AND THE IMPACT ON THE TAX RATE, IF ANY.

RIGGS MENTIONED, I'M GOING TO GIVE A VERY BRIEF PRESENTATION AND TRY TO STAY AS HIGH LEVEL AS POSSIBLE ON A POTENTIAL DEBT ISSUANCE.

FIRST AND FOREMOST, THE PLAN OF FINANCE.

AND I THINK IT WAS WRITTEN UP IN THE AGENDA PACKET.

WE'RE LOOKING AT THE SCENARIO I AM RUNNING IS FUNDING APPROXIMATELY 4.63 MILLION IN NET SPENDABLE PROCEEDS, AND THAT'S BROKEN UP INTO THREE DIFFERENT PROJECTS, 2.55 MILLION FOR STREET IMPROVEMENTS, $660,000 FOR PARK IMPROVEMENTS AND $1.42 MILLION FOR WATER SEWER INFRASTRUCTURE.

SO THE STREET IMPROVEMENTS, THE PARK IMPROVEMENTS, THOSE WOULD BE ANTICIPATED TO BE TO BE REPAID OUT OF THE INS PORTION OF THE TAX RATE.

AND TOGETHER, THOSE TWO EQUAL ABOUT 250,000 OF ANNUAL DEBT SERVICE ASSUMED IT'S AMORTIZED OVER A 20 YEAR PERIOD AND THERE IS NO ANTICIPATED TAX INCREASE TO THE INS TAX RATE.

AND I CAN GET INTO THAT HERE IN A MINUTE.

THE 1.42 MILLION FOR WATER SEWER INFRASTRUCTURE WOULD BE PAID FROM THE WATER SEWER UTILITY FUND.

AND BASED ON THE NUMBERS I'VE SEEN, THERE IS PLENTY OF COVERAGE THERE TO SUPPORT THAT DEBT ISSUANCE AND THAT DEBT SERVICE AS WELL OF APPROXIMATELY $110,000 PER YEAR.

BASED ON THE TIMETABLE WE'RE LOOKING AT.

PRICING MAY 23RD AT YOUR COUNCIL MEETING.

COME BACK WITH THOSE FINAL RESULTS AS OF TODAY, OR RATHER AS OF FEBRUARY 1ST, 2023, THE ESTIMATED RATE IS ABOUT 3.8%.

RATES HAVE KIND OF TRICKLED UP JUST A LITTLE BIT OVER THE PAST COUPLE OF DAYS, BUT I THINK WE'RE STILL IN THAT APPROXIMATE RANGE.

AND JUST TO ADD, THE LAST TIME I WAS BEFORE YOU ALL, WE DID SOME TWO TWO ISSUANCES FOR STREET IMPROVEMENTS AND THEY WERE ALTHOUGH THEY WERE TEN YEAR AMORTIZATIONS, THE RATES ON THOSE WERE 1.03%.

I MEAN, RATES HAVE GONE UP A BIT, BUT STILL FAVORABLE TIME TO ISSUE TAX EXEMPT BONDS.

SO THE TAX RATE ANALYSIS AND I'LL TRY TO STAY VERY HIGH LEVEL ON THIS.

THERE'S A LOT OF NUMBERS ON HERE, BUT I'M NOT GOING TO GO THROUGH EVERYTHING VERBATIM, BUT I WAS GOING TO REFERENCE SOME OF THE THE COLUMN HEADERS AT THE TOP LETTERS A THROUGH J COLUMN B, THAT IS THE IT SAYS TO V, THAT'S YOUR TAX BASE.

AND RIGHT NOW WE'RE ASSUMING A 5% GROWTH FROM THIS YEAR TO NEXT YEAR.

TO PUT THAT INTO PERSPECTIVE, THE CITIES AVERAGED ALMOST 8% PER YEAR OVER THE PAST FIVE YEARS.

COLUMN D IS THE NET DEBT SERVICE THAT'S PAID FROM THE INS TAX RATE.

AND SO THAT IS AFTER THE WATER SEWER, THE STORMWATER, THE EDC OR THE SALES TAX DEBT IS PAID FROM THAT.

SO THAT'S WHAT'S REMAINING TO BE PAID FROM THE TAX RATE.

COLUMNS F, G, AND H, THAT IS THE POTENTIAL NEW ISSUANCE FOR THE STREETS AND PARKS.

THIS IS THE DEBT SERVICE THAT IT WOULD BE SUPPORTED BY TAXES.

IF YOU LOOK AT COLUMN H, YOU CAN SEE THAT TOTAL ANNUAL DEBT SERVICE IS ABOUT 250,000 PER YEAR.

SOMETHING ELSE TO POINT OUT, JUST TO ADD A LITTLE BIT OF CONSERVATISM, I'M ASSUMING A 4.75% INTEREST RATE.

AND AS I MENTIONED ON THE PRIOR PAGE, IT'S ABOUT 3.8% IN TODAY'S MARKET.

SO LOOK ALL THE WAY OVER TO THE RIGHT HAND SIDE COLUMN.

J YOU CAN SEE WHERE I'VE HIGHLIGHTED THOSE TWO FIGURES.

YOUR CURRENT 2023 INNS TAX RATE IS 1282 12.8 $0.02 AND INCLUDING THIS NEW DEBT SERVICE WITH THAT ASSUMED 5% GROWTH RESULTS IN ABOUT 12.71.

SO WITHIN THE SAME TAX RATE THAT YOU HAVE BEFORE I MOVE ON CAN ANSWER ANY QUESTIONS ON ON THIS.

OF THE CERTIFICATES THAT WOULD BE ISSUED AND IT DETAILS WHAT THOSE CERTIFICATES WOULD BE USED FOR.

FURTHERMORE, IT ALSO PROVIDES THE DATE THAT THE COUNCIL WILL CONSIDER THE POTENTIAL CERTIFICATES OF OBLIGATION, WHICH IS MAY 23RD.

THAT NOTICE OF INTENT IN THE CITY IS VERY FAMILIAR WITH THIS PROCESS HAS TO BE PUBLISHED TWICE, WITH THAT FIRST PUBLICATION OCCURRING AT LEAST 46 DAYS BEFORE THAT MAY 23RD COUNCIL MEETING DATE.

DURING THE MONTHS OF MARCH AND APRIL, WE WOULD BE WORKING ON THE FINANCING DOCUMENTS AND THE CREDIT RATING REVIEW.

AS A REMINDER, THE CITY OF BEDFORD IS RATED AA, WHICH IS TWO NOTCHES FROM THE VERY TOP AA SO IT'S A VERY GOOD RATING, BUT IT'S BEEN A WHILE SINCE WE'VE BEEN TO THE RATING AGENCIES.

I THINK THERE'S, IN MY PERSONAL OPINION, LOOKING AT THE FINANCIALS, WE'RE EITHER THE SAME OR BETTER THAN THE AA, AND WE'D OBVIOUSLY TRY FOR THAT UPGRADE.

AND THEN MAY 23RD WE'D COME BACK.

WHAT WHAT MAKES YOU SAY THAT? NICK? WELL, SO THE LAST COUPLE OF CELLS THAT WE'VE HAD HAVE BEEN PRIVATE PLACEMENTS.

WE HAVE NOT GONE THROUGH THE PUBLIC OFFERING OR THE RATING PROCESS.

SO IT'S BEEN YEARS SINCE THESE THE RATING AGENCIES, SPECIFICALLY S&P, HAS LOOKED AT YOUR CREDIT, YOUR TAX BASE HAS GROWN, YOUR FINANCIALS HAVE CONTINUED TO BE VERY STRUCTURALLY BALANCED, MEANING YOUR CURRENT REVENUES ARE PAYING FOR YOUR CURRENT EXPENSES.

YOU'VE BEEN ABLE TO PUT AWAY SOME MONEY AND CASH, FUND SOME PROJECTS.

SO I'M ALWAYS HOPEFUL, TO BE HONEST WITH YOU, ESPECIALLY GIVEN THE RATING EXCUSE ME, THE TAX BASE INCREASE, IT'S ALWAYS IT'S IT'S ALWAYS A DIFFICULT PROCESS AND IT'S DIFFICULT TO TRY TO GET THAT UPGRADE, BUT WE'RE ALWAYS GOING TO TRY FOR THE UPGRADE.

I THERE'S NOTHING THAT I SEE LOOKING AT YOUR FINANCIALS OR ANYTHING ELSE THAT SO THROUGH THIS PROCESS OF OF DOING AN ISSUANCE THERE'S A POSSIBILITY THAT WE MAY HEAR BACK THAT OUR RATING MAY INCREASE THROUGH THIS PROCESS.

WE WOULD HOPE SO. AND I THINK AT A MINIMUM, IT WOULD STAY THE SAME.

YOU KNOW, THIS IS WE'RE TALKING ABOUT FOUR OR SO MILLION DOLLARS AT THE AT THE TOP END.

AND TO PUT THAT INTO PERSPECTIVE, THE CITY OF BEDFORD ANNUALLY PAYS ABOUT SEVEN AND A HALF DOLLARS MILLION OF ITS EXISTING DEBT DOWN.

SO I GUESS AS OF A COUPLE OF DAYS AGO, FEBRUARY 1ST, YOU MADE ABOUT A SEVEN AND A HALF MILLION DOLLAR PRINCIPAL PAYMENT OR YOU'RE PRETTY OUT THERE AS FAR AS DEALING WITH OTHER MUNICIPALITIES. I MEAN, WHAT ARE YOU SEEING OUT THERE FROM? FROM THIS PERSPECTIVE, ARE YOU SEEING OTHER CITIES STRUGGLE MANAGING THEIR DEBT LOAD? NOT SO MUCH.

I THINK WHAT WE'RE WE'RE SEEING IS FROM A FROM A RATING AGENCY PERSPECTIVE, THOSE HOUSING STARTS.

AND I KNOW THE CITY OF BEDFORD'S A LITTLE BIT DIFFERENT THAN MAYBE A CITY THAT'S OUT IN UPPER COLLIN COUNTY.

BUT WE'RE STARTING TO SEE THE RISE IN MORTGAGE RATES IMPACT REALLY TAKE DOWN OF PURCHASES OF NEW HOMES AND PERMITS.

BUT I THINK FOR THE MOST PART, TEXAS HAS FARED VERY WELL THROUGH NUMBER ONE, THROUGH COVID.

I THINK EVERYONE CAME OUT A BIT STRONGER ON THAT SIDE IN THE STATE OF TEXAS WITH SALES TAXES.

BUT IT'S I DON'T THINK I'VE SEEN A WHOLE LOT OF THE CITIES THAT I WORK WITH STRUGGLE WITH THEIR DEBT LOAD BECAUSE MOST OF THE TAX BASES CONTINUE TO INCREASE.

I THINK MAYBE THE MORE THE PRESSURES ON THE OPERATING SIDE WITH SB ONE AND THE THE INABILITY TO RAISE YOUR REVENUES.

AND SO WE WOULD COME BACK MAY 23RD WITH THE FINAL PRICING RESULTS FOR YOUR CONSIDERATION THAT NIGHT.

AND THE ESTIMATED CLOSING DATE OF THOSE PROCEEDS WOULD BE JUNE 22ND TAKES ABOUT 30 DAYS OR A MONTH FOR THE TEXAS ATTORNEY GENERAL TO FORMALLY APPROVE THE TRANSACTION SO THAT WE CAN CLOSE THE ISSUE.

THAT'S JUST THE TIMELINE.

THE COST IS COST NOT TO EXCEED $120,000, AND THAT WILL MAKE IT TO WHERE IT'LL IMPROVE ACCESS.

SO WE ARE A HISTORICAL LANDMARK IN BEDFORD, BUT WE ARE ALSO THE LARGEST COMBAT ERA VETERANS POST BY MEMBERSHIP IN THE DALLAS-FORT WORTH AREA.

AND WE VERY CLOSELY RIVAL TO BE THE NUMBER ONE IN STATE OF TEXAS, WHICH WE'VE GONE BACK AND FORTH.

SO WE'RE TRYING TO GET THAT BACK.

SO I THINK BEDFORD SHOULD BE VERY PROUD TO HAVE THAT IN THEIR HOME TOWN.

AND HE FELT THERE WOULD BE SUFFICIENT DRAINAGE WITHOUT A DETENTION POND, BUT NEVERTHELESS, TO TRY TO GET THEM TO ACCEPT THE DEAL WHERE THEY COULD COME OUT ON THIS AND MAKE IT WORK AND BUYING THE LAND, THEY WERE AGREEING TO GIVE UP SIX OR FIVE OF THEIR TOWNHOMES IN THE SOUTHEAST CORNER HERE AND PUT A DETENTION POND IN THERE, WHICH WOULD BE MORE THAN ENOUGH TO HANDLE THE RUNOFF FROM THESE APARTMENTS, FROM THESE TOWNHOMES.

THEY'RE NOT APARTMENTS OR TOWNHOMES.

AND SO I HOPE TO SHARE OUT SOME OF THE INITIATIVES THAT UNITED WAY OF TARRANT COUNTY HAS THAT THE CITY OF BEDFORD CAN TAKE ADVANTAGE OF.

SECONDLY, I ALSO ATTENDED REGION EIGHT MEETING OF THE TEXAS MUNICIPAL LEAGUE, SO I GOT TO INTERACT WITH OTHER PROFESSIONALS, OTHER FELLOW COUNCIL PEOPLE FROM OTHER CITIES.

THE PRESENTATION WAS ON GEO ACCOUNTING OR GEO ACCOUNTING, WHERE THE PRESENTER TALKED ABOUT SOME OF THE INVESTMENT CITIES SHOULD CONSIDER FOR INFRASTRUCTURE AND MAPPING THOSE OUT.

NOW AT THIS POINT AND ARE MOVING FORWARD WITH THINGS THAT'S IS IN ITS CURRENT STATE AND I BELIEVE I HAVE SHARED THIS WITH COUNCIL, HAVE NOT SHARED THIS PUBLICLY, BUT THIS IS THE PROPOSED SITE PLAN FOR THE 18 AND A HALF ACRES THAT WE PURCHASED.

SO YOU'LL SEE IN THERE YOU'VE GOT ABOUT 71 TOWNHOMES THAT LINE THE EDGE, THE PROPERTY THERE PROVIDING A NICE BUFFER TO THE EXISTING RESIDENTIAL AREA.

YOU'VE GOT SOME RESTAURANT RETAIL, YOU'VE GOT AN ANCHOR SPACE AND THEN SOME OUT PARCELS.

SO YOU'LL SEE THE PARCEL IN THE FRONT ALONG INDUSTRIAL, WHICH IS ALSO ON THE NORTHERN PART OF THE SITE THAT IS ACTUALLY GOING TO BE CARVED OUT AND LEFT FOR THE CITY'S OWNERSHIP. SO OUR GOAL IS TO SELL THE REMAINING PARCEL TO THE DEVELOPER WHO WILL DEVELOP IT IN THIS FORM THAT TWO AND A HALF, 2.6 PLUS ACRES WILL REMAIN IN OUR OWNERSHIP. THAT WAS DONE AFTER WE HAD DISCUSSIONS WITH THE DEVELOPER ABOUT OTHER POTENTIAL PROSPECTS THAT COULD LAND ON THIS SITE.

WE TALKED ABOUT SOME ENTERTAINMENT, POTENTIAL VENUES AND THINGS LIKE THAT.

SO WITHOUT THEM HAVING A FULL PLAN, WE KIND OF CARVED THIS OUT AND IT'S GREAT TO HAVE THE FLEXIBILITY.

SO AS THINGS COME ALONG OR WE HAVE PROSPECTS, WE CAN THEN HAVE AN ARSENAL HERE OF PROPERTY THAT WE CAN OFFER UP IF WE NEED TO.

SO THIS IS THE CONCEPT AND THIS IS REALLY IT'S KIND OF STOP MOVING AT THIS POINT.
